Governance and leadership
SIR's governance structure is designed to be responsive to SIR member wants, needs and trends; serve members and the professions efficiently and effectively; meet current and future governance challenges and satisfy those members who are involved in SIR governance activities.

SIR Board of Directors
The SIR Board of Directors is the chief governing and policymaking body of SIR made up of SIR’s member interventional radiologists. The board of directors is empowered to carry out the business of the society and is responsible for fiduciary oversight. It is responsible for overseeing and transacting the business necessary to achieve SIR's goals and to fulfill its mission. Board terms begin at the annual members' business meeting. The council meets in person three times per year.
The officers of the society shall be the president, president-elect, secretary, and treasurer. The president, president-elect and secretary of SIR are the voting members of the executive committee of the board of directors. The immediate past president, treasurer, SIR Foundation chair and a rotating board of directors member are nonvoting invited guests of the executive committee, along with the SIR Executive Director. Between meetings of the board of directors, the exeutive committee has all the powers and responsibilities of the board of directors and may conduct any business matter that requires attention.

SIR Foundation Board of Directors
SIR Foundation is governed by a board of directors charged with advancing the foundation's mission and goals through the acquisition and judicious deployment of funds. The SIR Foundation Board of Directors oversee activities that consist of developing research strategy in interventional radiology; reviewing grant applications to the foundation's grant programs; developing new research programs that foster the development of, or validate, innovative interventional radiology therapies; increasing the number of interventional radiologists participating in basic and clinical research; developing educational programming focused on strategic areas needing research; fostering the development of interventional radiology researchers; fundraising; finance including investment, budget, reporting and auditing; communications to internal (interventional radiology) and external (other disciplines, industry) constituencies.
SIR Foundation's Board of Directors works closely with SIR's Board of Directors to oversee and direct the execution of the jointly crafted SIR and SIR Foundation Strategic Plan, which serves to further the mission of both organizations.

SIR and SIR Foundation maintain separate bylaws. The SIR Bylaws represent the official written rules for conduct for the organizations.
The SIR Bylaws are, in effect, a contract among members, and must be formally adopted and/or amended. SIR’s Bylaws provide the rules/information regarding offices, membership, meetings and vote of members, Board of Directors, officers, committees and councilors, amendments and miscellaneous items.
SIR Foundation Bylaws provide the rules/information regarding offices, membership, meetings and vote of member, Board of Directors, officers committees and coordinators, amendments and miscellaneous items.

Changes for consideration
Proposed amendments to the SIR Bylaws, must be submitted to the membership by mail, facsimile, or electronic transmission, at least 30 days prior to a vote of the membership. At the annual members’ business meeting of the society amendments must be approved by a two-thirds affirmative vote of the active and scientist members present. Proposed amendments to the SIR Foundation Bylaws are approved by the affirmative majority vote of the SIR Foundation Board of Directors and the approval of the SIR Board of Directors as the sole member.
Governance principles and structure
SIR and SIR Foundation leadership recognizes that the current society and foundation governance and operational structures need to evolve in order to support continued innovation and change, while still embodying the SIR core values that exemplify the culture of our volunteers and staff.
- Governance shall operate on the principle of centralized authority and distributed decision-making.
- To support the SIR and SIR Foundation governance, leadership shall be appointed based on leadership competencies.
- SIR and SIR Foundation leadership shall reflect the diversity of the specialty and patients IRs serve.
- The board relies on robust input to inform strategy from volunteer stakeholders and leaders.
- The board determines and maintains appropriate committees with clearly defined roles, functions, authority and accountability, and appoints the members of these committees.
- Together, the evolved operational structures build community and encourage member engagement.
